This Contract is made and entered into this day ____ of_____________, 2011 and valid unless signed by both parties.
本合同，從2011年___月____日發出，以雙方簽署的當天生效.

WHEREAS the Seller and Buyer, each partie with full corporate authority, certifies, represents and warrants that each can fulfill the requirements of this contract and respectively provide the products and the funds referred to herein, in time and under the terms agreed to hereinafter; and whereas the Seller hereby agrees and makes an contract to sell and whereas the Buyer hereby agrees and makes an irrevocable firm contract to purchaseYttrium (III) Oxide [Y2O3]; Purity 99.995% (4N5), whereas each parties both agree to finalize this contract under the terms and conditions, it is therefore agreed as follows:
鑒於賣方和買方充分各自授權、認證、代表並保證雙方都可以履行本合同的要求，分別提供產品和本文提及的資金，及時和同意的條件下，賣家在此同意並作出穩固簽訂銷售合同，而買方在此同意並作出不可撤銷的穩固簽訂購買純度99.995% (4N5)氧化釔合同。
1 OBJECT 主旨
1.1 The herewith Seller and the Buyer herewith purchase in accordance with the specifications of quality described in this contract (hereinafter called “Goods”)
茲賣方和買方按照所述符本合同規格和品質採購（以下簡稱“貨物”）。
2 DELIVERY BASIS AND TERMS 交貨和條款
2.1 Condition of delivery:
The Seller shall deliver the Goods to the Buyer’s warehouse, if can’t the Seller must to refund all the money, besides the Seller has to reimburse 10% value of the Goods.
賣方交貨條件：交送指定倉庫，如無安全送達將退回全數金額並賠償貨款金額的10%。
2.2 The unit of measurement in this contract is Metric Tons of weight (MTW) equivalent of 1,000 kg per MTW
此合約的單位以公噸為計算
3 PRICE AND TOTAL AMOUNT OF THE CONTRACT合約內的單價與總金額
3.1 TheYttrium (III) Oxide [Y2O3]; Purity: 99.995% (4N5),shall be rejected and returned or renegotiate the term and price if the purity of the content less than 99.995%.
如果氧化釔低於99.995％純度，買方有權拒絕並退回或重新議價及條件。
3.2 The price is validity for 7 working days from the date of signed of final contract otherwise, the price shall be reviewed by both buyer and seller.
價格從最終合同簽訂之日起為7個工作日有效，否則，該價格必須從新評價。
4. PAYMENT TERMS AND CONDITIONS付款方式和條件
4.1 From the second transaction till end of this contract. The payment term to be as follow:
從第二次交易到合約終止，買方付款方式如下:
4.1.1 Buyer agrees to pay off the total money RMB￥_____________ BY T/T (Telegraph transfer) to Seller.
買方付款方式如下:
買方同意于簽約後3天內以電匯方式支付合約全數金額人民幣__________元整賣方。
5 ASSIGNMENT 轉讓
5.1 Any assignee or legal successor to either party shall assume all obligations and benefits of the contract.
任何一方的代理人或合法繼承者應承擔所有合同內的義務和福利。
5.2 Assignment is permitted under mandate by the Seller /Buyer and either party should be notified
在一方的通知下是允許賣方/買方要求轉讓。
6 STORAGE WAREHOUSE 倉庫

OPERATIVE AND FINANCIAL PROCEDURE AND TERMS
作業及付款流程和條件：
CLOSING PROCEDURES: (Valid for each delivery)
後續流程( 每批交易流程)
1. Seller shall provide the FCO to Buyer who shall sign it back to Seller;
賣方提供正式報價函給買方，買方收到該單據後回簽給賣方。
2. Buyer shall provide the finical document (BCL/ Bank confer Letter) to Seller for approving the ability to purchase through
bank to bank SWIFT.
買方經由銀行對銀行SWIFT電文提供購買財力證明給賣方。
3. Buyer & Seller sign the soft copy of draft Contract;
買賣雙方將簽署草約。
4. Both parties exchange and sign the contract
雙方簽定合約
5. Payment term and conditions are referral to Item4 of this contract.
付款方式和條件請參照本合約第四條。
6. Buyer has the right to go to the Seller’s storage warehouse for inspection ,but the Buyer will take upon the expense of transportation and etc. themselves.
買方有權決定派代表或親自赴倉庫檢查、監裝，但相關費用買方自理。
7. This contract which could be continued by an agreement of both parties.
本合同在買賣雙方同意下可續約。
8. All payment conditions according to this contract will be clarified between bank officers of the Seller and the Buyer.
本合約內所有付款條件，必須明確的為買賣雙方及雙方交易銀行認可與同意。
9. The Seller shall deliver the Goods to the Buyer’s warehouse, if can’t the Seller must to refund all the money, besides the Seller has to reimburse 10% value of the Goods.
賣方交貨條件：交送指定倉庫，如無安全送達將退回全數金額並賠償貨款金額的10%。
10. Buyer has the right to deliver the merchandise to the storage designate on time, if don’t, the Buyer could ask Seller accept all the damage of merchandise.
賣方同意有義務準時出貨至買方指定倉庫，如延遲出貨，買方有權要求賣方承受買方全額的損失。
